Terms of Service
These Terms of Service govern your use of the site and any services I provide through it. By using the site or asking me for work, you accept them. They applies to OnlineWorker Studio (studio.onlineworker.online), operated by Herman Ngugi from Nairobi, Kenya (“I”, “me”, “my”). It covers the three OnlineWorker sites: onlineworker.online, studio.onlineworker.online and librarian.onlineworker.online.
1. The site
The site describes my services (website design and development for Kenyan businesses) and lets you contact me. Information on it is provided in good faith and may change without notice. Starting prices shown are guides, not offers.
2. Quotes, proposals and engagements
- Sending an enquiry does not create a contract. Work begins only when you accept a written quote or proposal (email or WhatsApp confirmation counts) and any agreed deposit is paid.
- The quote sets out scope, price, timeline and payment terms. Work outside that scope is quoted separately before I start it.
- Prices are in Kenyan Shillings unless the quote says otherwise. US dollar figures shown are approximate. Quotes remain valid for the period stated, or 30 days if none is stated.
- The four concept demos on Studio are fictional businesses made to show what a website can look like. They are not real companies and no demo site offers real products or services.
3. What I need from you
You agree to give me accurate information, content and access when I ask for them, to review work promptly, and to confirm that you have the right to use everything you supply (text, images, logos, data). Delays on your side can move the delivery date.
4. Payment
Invoices are due as stated on the quote or invoice. I may pause work while an invoice is overdue. Deposits and completed work are not refundable except where the quote says so or the law requires it.
5. Ownership
You own what you supply. Once an invoice is paid in full, you own the final deliverables created for you. I keep ownership of my general know-how, tools and templates, and open-source or third-party components stay under their own licences (for example Koha, DSpace or fonts). Until payment is complete, I keep the rights in the work. Unless you tell me otherwise, I may describe the project in my portfolio without disclosing confidential details.
6. Third-party services
Projects can depend on services I do not control, such as domain registrars, hosting, email, payment and messaging providers. Their fees and terms are separate from mine, and I am not responsible for their outages or changes.
7. Acceptable use
Do not use the site to attack, overload or probe it, to send spam or unlawful content, or to impersonate someone else. I may refuse or end work that is unlawful or harmful.
8. Intellectual property of the site
The text, design, code and graphics of this site belong to me or are used with permission. You may link to it and quote short extracts with credit. You may not copy it wholesale or present it as your own.
9. Warranties and liability
I will perform services with reasonable skill and care. I do not promise particular business results, search rankings, uptime or sales. To the extent the law allows, I am not liable for indirect or consequential loss, and my total liability for any claim is limited to the fees you paid me for the work in question. Nothing here limits liability that cannot lawfully be limited.
10. Ending an engagement
Either of us may end an engagement in writing. You will pay for work done and costs incurred up to that point. Sections that by nature should survive (payment, ownership, liability, confidentiality) continue.
11. Governing law
These Terms are governed by the laws of Kenya. We will try to settle any dispute by talking first; failing that, the courts of Kenya (Nairobi) have jurisdiction.
12. Changes and contact
I may update these Terms; the date above shows the latest version, and an engagement stays on the version in force when the quote was accepted. Questions:
